Description: This course will provide an introduction to the business acquisition and its legal aspects. Subjects covered will include: deal structure, deal flow, differences between a Wall Street deal and a “Main Street” deal, public policy considerations, the de facto merger doctrine, the scope of successor liability, the Williams Act and other relevant federal laws, the “poison pill,” the Revlon doctrine, and “going private” transactions. The course will provide a comparative treatment of M&A law under Delaware law, the Model Act, and California law.
