LAW 251P - Corporate Counsel Practicum.


This course simulates the representation of an affiliated group of corporations and limited liability companies concerning corporate, products liability, and real estate issues. Students handle various elements of a sale of a closely held business to a publicly traded company and also represent the fictional client in connection with a products liability lawsuit. The course has a heavy emphasis on drafting, in both litigation and transactional settings. Specific drafting projects include: Rule 26 disclosures, electronic discovery stipulations, and instructions to company on preservation of electronic records; and sections of a letter of intent for an asset purchase agreement related to allocation of liability, indemnification, condition of assets, valuation of assets, title and liens against assets.Five hours.Jennings
